1. Agreement to Terms

By accessing or using Recessionist Pro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Recessionist Pro ("Company," "we," "us," or "our"). By subscribing to or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. IMPORTANT: NOT FINANCIAL ADVICE

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ CAREFULLY.

2.1 Educational Content Only. The Service provides economic data, analysis, commentary, and educational content for informational and entertainment purposes only. Nothing provided by the Service constitutes, or is intended to constitute, investment advice, financial advice, trading advice, tax advice, legal advice, or any other kind of professional advice.

2.2 Not a Registered Investment Advisor. Recessionist Pro is NOT a registered investment advisor, broker-dealer, financial analyst, financial planner, or financial institution. We are not licensed or registered with the Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), or any state securities regulatory authority.

2.3 No Fiduciary Relationship. Use of the Service does NOT create a fiduciary relationship between you and Recessionist Pro. We do not owe you any fiduciary duties. We are not acting as your financial advisor, investment advisor, or in any similar capacity. We have no obligation to act in your best interest.

2.4 No Personalized Advice. The Service provides general information and analysis. We do not provide personalized investment recommendations based on your individual financial situation, investment objectives, risk tolerance, or needs. Any mention of specific securities, ETFs, stocks, or investment strategies is for educational illustration only and should not be construed as a recommendation to buy, sell, or hold any security.

2.5 Your Responsibility. All investment decisions are solely your responsibility. You should conduct your own research and due diligence, and consult with a qualified, licensed financial advisor before making any investment decisions. You acknowledge that you are solely responsible for any investment decisions you make.

3. Investment Risk Disclosure

3.1 Risk of Loss. All investments involve risk, including the potential loss of principal. You may lose some or all of the money you invest. Past performance is not indicative of future results. There is no guarantee that any investment strategy will be successful.

3.2 Market Volatility. Financial markets are inherently volatile and unpredictable. Economic conditions, political events, natural disasters, and countless other factors can cause rapid and significant changes in asset prices.

3.3 Model Limitations. Our recession prediction model is based on historical data and statistical analysis. Historical patterns may not repeat. The model may be wrong, early, late, or completely inaccurate. No model can predict the future with certainty. Economic recessions are complex events influenced by countless unpredictable factors.

3.4 No Guarantees. We make no guarantees, representations, or warranties regarding the accuracy, completeness, timeliness, or reliability of any information, analysis, or content provided through the Service. We do not guarantee any specific outcome or return on investment.

3.5 Hypothetical Performance. Any hypothetical, backtested, or simulated performance results have inherent limitations. Unlike actual trading, simulated results do not represent actual trading and may not reflect the impact of material economic and market factors. Hypothetical results are generally prepared with the benefit of hindsight.

4. Subscription and Payment

4.1 Subscription. Access to the Service requires a paid subscription. By subscribing, you agree to pay the applicable subscription fees.

4.2 Recurring Billing. Subscriptions are billed on a recurring monthly basis. Your payment method will be automatically charged each billing period until you cancel your subscription.

4.3 Free Trial. We may offer a free trial period. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Cancellation. You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

4.5 Price Changes. We reserve the right to change subscription prices at any time. Price changes will be communicated in advance and will take effect at the start of your next billing period.

5. Limitation of Liability

5.1 No Liability for Investment Losses. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECESSIONIST PRO SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, TRADING LOSSES, OR ANY OTHER FINANCIAL LOSSES YOU MAY INCUR AS A RESULT OF USING OR RELYING ON THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES RESULTING FROM ANY INFORMATION, ANALYSIS, DATA, SIGNALS, OR CONTENT PROVIDED THROUGH THE SERVICE.

5.2 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

5.3 Maximum Liability. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

5.4 No Consequential Damages. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnification

You agree to indemnify, defend, and hold harmless Recessionist Pro, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your investment decisions or trading activities; (d) your violation of any third-party rights; or (e) any claim that your use of the Service caused damage to a third party.

7. Intellectual Property

7.1 Ownership. All content, features, and functionality of the Service, including but not limited to text, graphics, logos, data, analysis, models, and software, are owned by Recessionist Pro and are protected by copyright, trademark, and other intellectual property laws.

7.2 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only.

7.3 Restrictions. You may not: (a) copy, modify, or distribute any content from the Service; (b) use the Service for any commercial purpose; (c) reverse engineer or attempt to extract the source code of our software; (d) share your login credentials with others; or (e) resell or redistribute access to the Service.

8. Third-Party Data and Content

The Service may include data from third-party sources, including but not limited to the Federal Reserve (FRED), Yahoo Finance, and other financial data providers. We do not guarantee the accuracy, completeness, or timeliness of third-party data. Third-party data is provided "as is" without warranty of any kind.

Any opinions, views, or commentary expressed in the Service are those of Recessionist Pro and do not necessarily reflect the views of any third-party data providers.

9. Editorial Opinions and Competitor Commentary

The Service may include editorial opinions, reviews, and commentary about other financial services, products, or personalities. All such commentary represents our subjective opinions and First Amendment-protected speech. These are opinions, not statements of fact.

We are not affiliated with, endorsed by, or sponsored by any third parties mentioned in our content. All trademarks and trade names mentioned belong to their respective owners.

10. Dispute Resolution and Arbitration

10.1 Informal Resolution. Before initiating any formal dispute resolution, you agree to first contact us at legal@recessionist.pro to attempt to resolve any dispute informally. Most disputes can be resolved this way.

10.2 Binding Arbitration. If we cannot resolve a dispute informally, you and Recessionist Pro agree to resolve any disputes through binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

10.3 Class Action Waiver. YOU AND RECESSIONIST PRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Miscellaneous

13.1 Entire Agreement. These Terms constitute the entire agreement between you and Recessionist Pro regarding the Service and supersede all prior agreements.

13.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.4 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

BY USING RECESSIONIST PRO, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU SPECIFICALLY ACKNOWLEDGE THAT:

  • Recessionist Pro is NOT providing financial advice
  • All investment decisions are your sole responsibility
  • Investments involve risk, including potential loss of principal
  • Past performance does not guarantee future results
  • The recession model may be inaccurate and should not be relied upon for investment decisions
  • You should consult a licensed financial advisor before making investment decisions
  • You have agreed to binding arbitration and waived your right to participate in class actions
